General

THIS LEGAL AGREEMENT ("Agreement") BETWEEN YOU ("Client" or "you" or "your") AND Nora.Legal ("Nora" or "we") GOVERNS YOUR USE OF THE SERVICES ("Services").

Acknowledgment and Acceptance of Agreement:The Services are provided to Client in accordance with this Agreement between Nora and Client, superseding any prior agreements pertaining to this subject matter. IF CLIENT DOES NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, CLIENT IS NOT PERMITTED TO USE THE SERVICES. CLIENT'S CONTINUED USE OF THE SERVICES EVIDENCES CLIENT'S AGREEMENT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING ANY AMENDMENT.

Representations: By purchasing a product or service from Nora, you represent the following: that you are a licensed United States attorney, qualified and fit to practice law in one of the 50 states of the United States; that you will independently exercise your professional judgment in reviewing any legal products or services provided to you by Nora; that no attorney-client privilege is formed between you and Nora; that you are in no way delegating your obligations and duties as a licensed attorney to Nora; and that you fully understand that Nora is not engaged in the practice of law, legal representation, or rendering legal advice.

Disclaimer: Nora expressly disclaims all express and implied warranties, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose. Nora makes no representations or warranties with respect to the legal accuracy or applicability of its services and products. In no event shall Nora be liable to client or any party for direct, indirect, incidental, special, exemplary, consequential, or other damages (including, but not limited to lost profits, business interruption or losses stemming from loss of legal reputation, bar standing) without regard to the form of action and whether in contract, tort, strict liability, or otherwise, arising out of or in connection with its services. Nora is in no way in the business of practicing law or rendering legal advice, and no attorney-client privilege is formed between Nora and Client, and any services rendered by Nora are intended solely for use by licensed attorneys, upon their independent review of the same.

Limitation of Damages: Client's exclusive remedies with respect to the Services rendered by Nora or the products delivered shall be refund of the total purchase price paid by Client. In no event shall Nora, or any of its employees, contractors, or agents be liable for indirect, special, or consequential damages, including but not limited to damages arising from any delay in services or delivery of products by Nora to Client.

Practice of Law: Nora is not engaged in the unauthorized practice of law. A non-attorney may not purchase a Nora product or service. Nora products and services are not intended for use by non-attorneys without legal representation.

Confidentiality: The term "Confidential Information" shall mean all information and communications (in any medium) entrusted to and/or passed on to Nora by the Client and all legal work products prepared for Client as a result of Nora’s services. Nora shall not use or disclose the Confidential Information, except with the prior written consent of Client, or for the Limited Purposes, as defined hereinafter. The obligations of Nora shall not apply to any portion of the Confidential Information that is or subsequently becomes available to the public, including but not limited to any and all court filings. Moreover, Client consents to Nora’s use of Confidential Information for its internal data analysis needs and to Nora’s use of its work product to prepare document templates, sample work and related uses, provided that all information identifying Client and Client’s client(s) have been thoroughly redacted (the “Limited Purpose”).

Right of Refusal: Nora maintains the right to refuse any project and refund any payment made through its online payment gateway or any of the online sites owned or branded by Nora. Nora reserves the right to not accept a project or a client at its own discretion and shall in no way be held liable for any claims arising from the same in a court of law or elsewhere.

Termination: Nora may limit, interrupt, terminate, or refuse to provide legal products or services if: (a) you do not honor any provision of this Agreement; (b) you use our Services to engage in fraud or unlawful conduct or are suspected of doing so; (c) you use our Services in a manner that is excessive or unreasonable when compared to the predominant usage patterns; (d) you resell any Services; or (e) you do not make payment or make a default in payment, violating the terms agreed to between you and Nora. Nora also retains the right to terminate the Agreement "at will" or "for convenience" without any cause, at any time, with immediate effect

Excessive or Unreasonable Use: We reserve the sole right and discretion to deem your usage excessive or unreasonable. We further reserve the right to charge you additional fees for such usage, or change your rate plan to one that is consistent with your usage.

Bundled Services: Some of our plans may offer a discount if you sign up for bundled services and may require a term commitment. In any event, if you sign up for bundled services, you agree to maintain the bundled services for the applicable term. If you receive bundled services and you subsequently unbundle, terminate, or disconnect any of these Services, or if we disconnect any of the Services, we may adjust the rates for the remaining Service(s) to the then-current price.

Captions & Headings: The captions and headings used in this Agreement are for convenience only and shall not be deemed to be a part of this Agreement for purposes of construction.

Choice of Law: This Agreement shall be governed by and interpreted in accordance with the laws of the state of Michigan.

Jurisdiction: Client expressly consents to the Michigan state and federal courts exercising personal jurisdiction over Client in the event of any dispute relating to this Agreement.

No Waiver: If Nora does not enforce any right or remedy available under this Agreement, that failure is not a waiver.

Severability: If any provisions of this Agreement are determined to be illegal or unenforceable, the remaining provisions shall nevertheless be binding, with the same force and effect as if the illegal or unenforceable parts were deleted.

MEMBERSHIP PLANS

THIS LEGAL AGREEMENT ("Agreement") BETWEEN YOU ("Client" or "you" or "your") AND Nora.Legal ("Nora" or "we") GOVERNS YOUR USE OF THE SERVICES ("Services").

Scope of Services:Nora Membership plans include the "Basic," "Plus," and "Pro" plans ("Membership Plans"). The "Basic" plan provides attorneys from the same firm with 50 hours of legal research and writing, subject to the Nora Reasonable Use policy as hereinafter defined ("Basic Plan"). The "Plus" plan provides attorneys from the same firm with 80 hours of legal research and writing, subject to the Nora Reasonable Use policy as hereinafter defined ("Plus Plan"). The "Pro" plan provides attorneys from the same firm 125 hours of legal research and writing, subject to the Nora Reasonable Use policy as hereinafter defined ("Pro Plan").

Acknowledgment and Acceptance of Agreement: The Services are provided to Client in accordance with this Agreement. If Client does not agree to be bound by the terms and conditions of this Agreement, Client is not permitted to use the Services. Client's continued use of the Services evidences Client’s agreement to the terms and conditions of this Agreement, including any amendment.

Usage Rules: The Membership Plans may be shared among attorneys of the same firm.

Reasonable Use: Nora’s Membership Plans are designed to process and deliver projects at utilization levels of our typical general practitioner attorney clients’ usage patterns (referred to as "Reasonable Use"), and upon the following conditions: a) Clients will have at their disposal a maximum resource allocation of one full-time attorney resource not to exceed 50 labor hours in any given month for the Basic Plan, 80 labor hours in any given month for the Plus Plan, and 125 labor hours in any given month for the Pro Plan; b) Nora can commit to working on only two projects per Membership Plan at any given time; c) Clients will be subject to the following standard turnaround times: research memoranda/claims analysis—3 business days; motions—5 business days; appeals-minimum of 10 business days.

The term "Membership" is to be understood in the context of the above terms and conditions.

Reasonable Use does not include the reselling of Nora services or usage arising from attorneys outside of the Client’s firm, community, or fraudulent use. "Membership" does not refer to those types and levels of usage. Service utilization that is indicative of, or arising from, impermissible business, unauthorized attorney, community or fraudulent use, as outlined herein, will subject a Client to immediate termination.

Unauthorized, Unreasonable, or Excessive Use: We reserve the sole right and discretion to deem your usage excessive or unreasonable. We further reserve the right to charge you additional fees for such usage, or change your rate plan to one that is consistent with your usage. Unauthorized or excessive use beyond that normally experienced by a typical general practitioner's usage of a full time attorney resource (including labor hours exceeding the maximum allowable per month for each of the three plans), will result in service termination. A Client's aggregate usage may be considered outside of Reasonable Use if it exceeds 50, 80 or 125 labor hours per month for each of the Basic Plan, Plus Plan or Pro Plan Membership Plans, respectively, in combination or separate from one or more of the following, including, but not limited to, excessive:

Motion drafting

Research memo drafting

Pleadings drafting

Based on such a finding, Nora may determine that abnormal, unreasonable, or impermissible usage is occurring when compared to reasonable usage, and may take appropriate steps to enforce the Reasonable Use policy and these terms of services, including but not limited to immediate termination.

For Lawful and Appropriate Purposes Only: You may not use our service in any way that is illegal, fraudulent, improper, or inappropriate. You may not use any automated means to manipulate our service or use our service to violate any law, rule, regulation, or any third party’s intellectual property or personal rights. We reserve the right to review your account and take further action, including, but not limited to, immediate suspension of your service if account usage is impermissible or detrimental to other customer's ability to use the service or adversely affects our operations.

Changes: Nora reserves the right to change its Reasonable Use policy and terms and conditions at any time, at its sole discretion.

Pricing and Payment: Client agrees to pay the agreed upon respective monthly subscription fee.

Term: This Agreement will run for a period of one year from the date [onboarding is completed] (the "Effective Date") and will automatically renew for an additional year unless terminated by either party prior to renewal.

Termination by Nora: Nora may limit, interrupt, terminate, or refuse to provide legal products or services if: (a) you breach or otherwise do not honor any provision of this Agreement; (b) you use our Services to engage in fraud or unlawful conduct or are suspected of doing so; (c) you use our Services in a manner that is excessive or unreasonable when compared to the predominant usage patterns ; (d) you resell any Services; or (e) you do not make payment or make a default in payment violating the terms agreed to between you and Nora. Nora also retains the right to terminate the Agreement "at will" or "for convenience" without any cause at any time with immediate effect. Upon notice of termination from Nora, this Agreement will automatically terminate, no further services will be provided, and Client will not be reimbursed for monthly fees for the month in which the notice was given.

Termination by Client: Client may terminate this Agreement by providing one month’s written notice at any time. Nora will continue to provide services to the Client through the one month notice period. If notice of termination is given on the same day of the month as the Effective Date, Client shall pay membership fees for the month comprising the notice period. If notice of termination is given on a day other than the same day of the month as the Effective Date, Client shall pay membership fees for the month in which the notice is given and a prorated amount for the following month up to the date termination is effective.

Representations: By submitting a project to Nora, Client represents the following: that you are a licensed United States attorney, qualified and fit to practice law in one of the 50 states of the United States; that you will independently exercise your professional judgment in reviewing any legal products or services provided to you by Nora; that no attorney-client privilege is formed between you and Nora; that you are in no way delegating your obligations and duties as a licensed attorney to Nora; and that you fully understand that Nora is not engaged in the practice of law, legal representation, or rendering legal advice.

Disclaimers: Nora expressly disclaims all express and implied warranties, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose. Nora makes no representations or warranties with respect to the legal accuracy or applicability of its services and products. In no event shall Nora be liable to Client or any party for direct, indirect, incidental, special, exemplary, consequential, or other damages (including, but not limited to lost profits, business interruption or losses stemming from loss of legal reputation, bar standing) without, regard to the form of action and whether in contract, tort, strict liability, or otherwise, arising out of or in connection with its services. Nora is in no way in the business of practicing law or rendering legal advice, and no attorney-client privilege is formed between Nora and Client, and any services rendered by Nora are intended solely for use by licensed attorneys, upon their independent review of the same.

Limitation of Damages: Client's exclusive remedies with respect to the services rendered by Nora or the products delivered shall be the correction or fixing of the work by Nora. In no event shall Nora, or any of its employees, contractors, and/or agents be liable for indirect, special, or consequential damages, including but not limited to damages arising from any delay in services or delivery of products by Nora to Client.

Confidentiality: The term "Confidential Information" shall mean all information and communications (in any medium) entrusted to and/or passed on to Nora by the Client and all legal work products prepared for Client as a result of Nora's services. Nora shall not use or disclose the Confidential Information, except with the prior written consent of Client, or for the Limited Purposes, as defined hereinafter. The obligations of Nora shall not apply to any portion of the Confidential Information that is or subsequently becomes available to the public, including but not limited to any and all court filings. Moreover, Client consents to Nora's use of Confidential Information for its internal data analysis needs and to Nora's use of its work product to prepare document templates, sample work and related uses, provided that all information identifying Client and Client's client(s) have been thoroughly redacted (the "Limited Purpose").

Right of Refusal: Nora maintains the right to refuse the intake of any project and refund any payment made through its online payment gateway or any of the online sites owned or branded by Nora. Nora reserves the right to not accept a project or a client at its own discretion and shall in no way be held liable for any claims arising from the same in a court of law or elsewhere.

Financial Information: Client hereby authorizes Nora to charge the provided credit card on a monthly basis for the amount due under this Agreement for subscription to any of the Nora Membership Plans. This Recurring Payment Authorization/Charge shall remain in force until cancelled by Client in writing. Client hereby agrees that s/he/it will not dispute Nora's recurring billing with Client’s credit card issuer so long as the amount in question was for the Membership Plan pursuant to this Agreement. Client guarantees and warrants that Client is the legal cardholder for the provided credit card and that s/he/it is legally authorized to enter into this recurring billing agreement with Nora.

PROMOTIONAL OFFERS & NORA.LEGAL POINTS

THESE GENERAL CONDITIONS FOR PROMOTIONS APPLY TO PROMOTIONAL ACTIVITIES & NORA.LEGAL POINTS ORGANIZED BY Nora.Legal ("Nora" or "we" or "our") BY CONFIRMING YOUR ORDER USING THE NORA.LEGAL POINTS/DISCOUNT/PROMO CODE SPECIFIED IN THE PROMOTIONAL OFFER OR AS PART OF THE NORA.LEGAL LOYALTY POINTS PROGRAM, YOU ACCEPT AND AGREE TO BE BOUND BY THE BELOW TERMS AND CONDITIONS IN ADDITION TO OUR NORA.LEGAL TERMS AND CONDITIONS (collectively "Terms and Conditions").

The promotional offer and NORA.LEGAL Points apply only to products purchased using Nora online, the client dashboard, email, or through our telesales.

Some promotional offers/NORA.LEGAL Points may not apply to existing Nora project-based customers or membership clients.

The promotions/NORA.LEGAL Points are valid only for the time period specified in the promotional offer and apply only to qualifying products specified in the offer message.

Promotional offers cannot be combined with other offers or Nora.Legal Points. Promotional offers and Nora.Legal Points may not be applied to previous orders.

To qualify, the Discount code or NORA.LEGAL Points must be successfully entered and payment successfully completed before the offer expires.

NORA.LEGAL reserves the right to modify or withdraw a promotional offer/NORA.LEGAL Points at any time, without notice, at the sole discretion of NORA.LEGAL.

NORA.LEGAL Points have no cash value and are not exchangeable for cash.NORA.LEGAL Points are non-refundable and non-transferrable. The accumulation of NORA.LEGAL points does not entitle the client to any vested rights, and NORA.LEGAL does not guarantee in any way the continued availability of any reward, redemption level, rebate, or any other benefit.

Any breach of the Terms and Conditions automatically disqualifies you from any promotional offers. Void where prohibited. These terms and conditions shall be governed and interpreted in accordance with the laws of Michigan.

PARTNER PROGRAM

THESE GENERAL CONDITIONS APPLY ON PURCHASE OF PARTNER PRODUCTS FROM THE NORA.LEGAL. BY CONFIRMING YOUR ORDER, YOU ACCEPT AND AGREE TO BE BOUND BY THE BELOW TERMS AND CONDITIONS.

Once a client purchases a partner product/service, the information of the client and his purchase will be sent directly to the partner via a Nora.Legal purchase confirmation email.

Upon receipt of the Nora.Legal purchase confirmation email, it is the obligation of the partner to fulfill the client's requirements and complete the order based on the partner terms and conditions provided.

An email will be sent to the client providing the contact details of the partner.

Nora will not be responsible for the fulfillment of any service/order. This shall be the sole responsibility of the partner.

All post sale customer service requests will be directed to the partner and not be handled by the Nora staff.

These terms and conditions shall be governed and interpreted in accordance with the laws of Michigan.
